End User License Agreement

This End User License Agreement ("EULA") governs your download, installation, access to, and use of software made available by Cortlet ("Cortlet," "we," "us," or "our").

By downloading, installing, accessing, or using software governed by this EULA, you agree to be bound by these terms. If you do not agree to this EULA, you must not install, access, or use the software.

This EULA applies to Cortlet software that is provided under a proprietary license or otherwise expressly states that it is governed by this EULA.

This EULA does not replace an open-source license that expressly applies to a particular Cortlet project, component, or source code release. Open-source components remain governed by their applicable licenses.

If separate license terms are provided with a specific Cortlet product, version, component, or distribution, those specific terms control to the extent of any conflict with this EULA.

Subject to your compliance with this EULA, Cortlet grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the software for its intended purpose.

The software is licensed, not sold. Except for the limited rights expressly granted under this EULA, Cortlet and its licensors retain all rights, title, and interest in and to the software.

You may install and use the software on devices that you own, control, or are otherwise authorized to use, subject to any product-specific limitations or documentation.

You may use the software for personal, educational, internal business, development, testing, or commercial purposes where such use is consistent with the intended functionality of the software and this EULA.

You must not, except where applicable law expressly permits:

• copy, redistribute, sublicense, sell, rent, lease, or otherwise transfer the software except as expressly permitted by Cortlet;
• remove, alter, or obscure copyright notices, trademark notices, attribution notices, license notices, or other proprietary markings;
• use the software in violation of applicable law or regulation;
• use the software to interfere with, damage, disrupt, overload, probe, scan, or gain unauthorized access to systems, networks, services, devices, or data;
• use the software to distribute malware, malicious code, credential-stealing software, or other harmful material;
• bypass technical restrictions, access controls, licensing mechanisms, or security measures implemented in the software;
• represent that the software, modified versions of the software, or derivative products are officially produced, endorsed, or supported by Cortlet when they are not;
• use Cortlet trademarks, branding, logos, or product names in a way that creates confusion regarding ownership, sponsorship, affiliation, or endorsement.

You may not reverse engineer, decompile, disassemble, decode, or attempt to derive the source code, underlying structure, or internal implementation of proprietary Cortlet software except to the extent that applicable law expressly grants you that right and does not allow it to be contractually restricted.

This restriction does not apply to source code or components separately released by Cortlet under an open-source license.

The software may include third-party or Cortlet-developed components distributed under open-source licenses.

Those components are governed by their respective license terms. Nothing in this EULA is intended to restrict rights granted to you under an applicable open-source license.

The software, including its executable code, proprietary source code, architecture, design, user interface, documentation, graphics, product identity, and other associated materials, is owned by Cortlet or its licensors except where expressly stated otherwise.

This EULA does not grant you ownership of any Cortlet software, trademarks, copyrights, patents, trade secrets, or other intellectual property.

Cortlet names, logos, product names, service names, and related branding may be trademarks or other protected identifiers of Cortlet.

No trademark rights are granted under this EULA. Any use of Cortlet branding must comply with applicable Cortlet policies and must not falsely imply affiliation, endorsement, or sponsorship.

Cortlet may provide updates, patches, bug fixes, security fixes, improvements, replacements, or new versions of the software.

Updates may modify, remove, replace, or add functionality. Cortlet does not guarantee that every feature, interface, workflow, format, or behavior will remain available in future versions.

Unless separate terms are provided, updates and new versions supplied as part of the same product remain subject to this EULA.

If a Cortlet product includes automatic update functionality, the software may periodically check for and install updates where that functionality is enabled.

Product-specific documentation may provide additional information regarding update behavior and available controls.

The software may interact with, rely on, integrate with, or provide access to third-party software, services, platforms, libraries, websites, APIs, or infrastructure.

Cortlet does not control third-party services and is not responsible for their availability, security, accuracy, functionality, content, policies, or practices.

Your use of third-party products or services may be subject to separate terms and privacy policies provided by those third parties.

Information regarding Cortlet's handling of personal information is described in the Cortlet Privacy Policy.

Unless expressly stated for a specific product, this EULA does not mean that the installed software itself includes analytics, tracking, or telemetry.

The Cortlet website may use separate website services, including Vercel Analytics and Vercel Speed Insights, as described in the Privacy Policy. Waitlist communications may be processed through Resend, and certain static assets may be stored or delivered through Amazon S3 and Amazon CloudFront.

Cortlet may offer software that does not include product-level analytics or telemetry. Where a particular product does collect diagnostics, telemetry, analytics, crash data, or similar information, that collection will be described in the applicable product documentation or privacy disclosures.

Some functionality may require an internet connection, access to third-party services, APIs, repositories, package registries, update servers, or other network resources.

You are responsible for any network access, data charges, credentials, permissions, and infrastructure required for your use of the software.

You are responsible for maintaining appropriate security for the devices, accounts, credentials, keys, tokens, files, systems, and infrastructure used with the software.

You must not use the software to access systems or data without authorization.

Certain Cortlet products may allow you to work with credentials, environment variables, secrets, configuration files, API keys, tokens, source code, logs, or other data.

You are responsible for determining whether information you provide to or process with the software is appropriate for that use and for maintaining backups where necessary.

You should not assume that use of a Cortlet product eliminates your responsibility to protect credentials, secrets, or sensitive information.

Cortlet does not guarantee that the software, related downloads, update systems, documentation, integrations, or supporting services will always be available or uninterrupted.

Features may be modified, suspended, discontinued, or replaced at any time where reasonably necessary for development, security, operational, legal, or business reasons.

Software identified as beta, preview, experimental, prototype, development, early access, pre-release, or similar may be incomplete, unstable, subject to significant change, or unsuitable for production use.

You use pre-release software at your own risk and should not rely on it for critical systems without appropriate testing, backups, monitoring, and safeguards.

If you voluntarily provide feedback, suggestions, ideas, bug reports, feature requests, or other input regarding the software, you grant Cortlet permission to use that feedback without restriction or obligation to compensate you.

This does not transfer ownership of your existing intellectual property or confidential information to Cortlet.

You are responsible for using the software in compliance with all laws and regulations applicable to you, your location, your organization, your systems, and your intended use.

You may not use, export, re-export, transfer, or make the software available in violation of applicable export-control, sanctions, trade-control, or similar laws.

You are responsible for determining whether any legal restrictions apply to your use or distribution of the software.

To the maximum extent permitted by applicable law, the software is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

Cortlet disclaims, to the maximum extent permitted by law, all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and security.

Cortlet does not warrant that the software will be error-free, uninterrupted, secure, compatible with every system, or suitable for every purpose.

To the maximum extent permitted by applicable law, Cortlet and its affiliates, contributors, licensors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the software or this EULA.

This includes, where legally permitted, loss of profits, revenue, business, opportunity, goodwill, data, credentials, files, or service availability.

Nothing in this EULA excludes or limits liability that cannot legally be excluded or limited under applicable law.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Cortlet and its affiliates, officers, contributors, contractors, licensors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the software, your violation of this EULA, or your infringement of another person's rights.

This EULA remains effective until terminated.

Your license may terminate automatically if you materially breach this EULA and fail to cure the breach where a cure is legally or reasonably applicable.

Cortlet may also discontinue a product or revoke access to software where required by law, necessary to address security concerns, or permitted under product-specific terms.

Upon termination of your license, you must stop using software for which your right of use has ended and delete copies where required by the applicable termination.

Provisions that by their nature should survive termination, including ownership, intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related provisions, will survive.

Cortlet may update this EULA from time to time to reflect changes in the software, law, security requirements, business practices, or licensing structure.

The updated version will be posted with a revised "Last updated" date. Where required by applicable law, additional notice will be provided.

If any provision of this EULA is found to be invalid, unenforceable, or unlawful, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

A failure by Cortlet to enforce any provision of this EULA does not waive Cortlet's right to enforce that provision or any other provision later.

You may not assign or transfer your rights or obligations under this EULA without Cortlet's prior written consent, except where applicable law provides otherwise.

Cortlet may assign this EULA as part of a merger, acquisition, reorganization, sale of assets, corporate restructuring, or similar transaction, subject to applicable law.

This EULA, together with any product-specific terms expressly incorporated into it, constitutes the agreement between you and Cortlet regarding the licensing of software governed by this EULA.

Separate Cortlet services, websites, accounts, APIs, or hosted products may also be governed by the Cortlet Terms of Service, Privacy Policy, Acceptable Use Policy, or other applicable terms.

This EULA is governed by the laws applicable to Cortlet as identified in Cortlet's legal information, without regard to conflict-of-law principles, except where mandatory consumer or local law requires otherwise.

Any dispute arising from or relating to this EULA will be handled in accordance with applicable law and any dispute-resolution provisions stated in the Cortlet Terms of Service or other applicable legal terms.

Nothing in this EULA is intended to exclude, restrict, or waive rights that cannot legally be excluded, restricted, or waived under applicable consumer-protection law.
