Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cortlet websites, hosted services, APIs, developer tools, documentation, waitlists, and other services made available by Cortlet ("Cortlet," "we," "us," or "our").

By accessing or using a Cortlet service, you agree to these Terms. If you do not agree, you must not use the applicable service.

These Terms apply to Cortlet online services and other services that expressly reference or incorporate them.

Installed Cortlet software may also be governed by a separate End User License Agreement or open-source license. If separate product-specific terms apply, those terms control to the extent of any conflict.

You may use Cortlet only if you are legally permitted to enter into these Terms and use the services under applicable law.

Cortlet is not currently available to users in the European Union or the United Kingdom, and Cortlet services are not intended to be offered to users in those regions at this time.

Cortlet may restrict availability in other regions where required by law, operational limitations, security concerns, or business requirements.

Certain Cortlet services may require an account or organization membership.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity performed through your account, organization, API keys, or other authentication credentials.

You must provide accurate information where required and must not impersonate another person or organization.

You must take reasonable steps to protect passwords, access tokens, API keys, private keys, certificates, and other credentials associated with Cortlet.

You should notify Cortlet through the appropriate contact or security channel if you reasonably believe that your account or credentials have been compromised.

Subject to these Terms and any applicable product-specific terms, you may use Cortlet for lawful personal, educational, development, testing, internal business, and commercial purposes consistent with the intended functionality of the applicable service.

Your use of Cortlet is also subject to the Cortlet Acceptable Use Policy.

You must not use Cortlet for unlawful, abusive, malicious, fraudulent, disruptive, or unauthorized activity.

Cortlet may provide APIs, command-line tools, SDKs, gateways, libraries, webhooks, documentation, and other developer interfaces.

You must use these interfaces in accordance with applicable documentation, technical limits, rate limits, security requirements, and product-specific restrictions.

Cortlet may modify interfaces, limits, request formats, response formats, endpoints, or other technical behavior as products evolve.

API keys, access tokens, organization credentials, and similar secrets are intended for authorized use only.

You are responsible for controlling access to those credentials and for activity performed with them.

Cortlet may revoke or rotate credentials where reasonably necessary for security, abuse prevention, legal compliance, or service integrity.

Cortlet services may include rate limits, quotas, connection limits, storage limits, traffic limits, request limits, or other technical restrictions.

You must not attempt to circumvent those restrictions through multiple accounts, credentials, organizations, automated requests, or other means.

Some Cortlet services may be identified as beta, preview, experimental, prototype, development, early access, or pre-release.

Such services may be incomplete, unstable, unavailable, substantially changed, or discontinued without the same level of notice or support as a generally available service.

You should not rely on pre-release services for critical workloads without appropriate testing, redundancy, backups, and safeguards.

Cortlet may offer waitlists for products or services that are not yet publicly available.

Joining a waitlist does not guarantee access, availability, pricing, launch timing, feature availability, or acceptance into any preview or release.

Cortlet may use Resend to process waitlist submissions and related email communications.

If you provide contact information to Cortlet, we may use it to send transactional, operational, security, waitlist, product, or service-related communications where appropriate.

Marketing or promotional communications, where used, may include available unsubscribe or preference controls as required by applicable law.

Cortlet may rely on, integrate with, or link to third-party services, infrastructure, platforms, APIs, repositories, package registries, hosting providers, or other external services.

Cortlet does not control those third-party services and is not responsible for their availability, security, functionality, content, terms, or privacy practices.

Cortlet uses third-party infrastructure and service providers to operate portions of its website and related services.

These providers may include Vercel for website hosting, performance, and analytics functionality; Resend for waitlist and email processing; and Amazon Web Services, including Amazon S3 and Amazon CloudFront, for storage and delivery of certain static assets such as images.

Cortlet may change infrastructure providers as reasonably necessary without changing the fundamental nature of these Terms.

The Cortlet website may use Vercel Analytics to understand general website usage and Vercel Speed Insights to measure website performance and user-experience metrics.

These website services are separate from product-level analytics or telemetry. Installed Cortlet software does not necessarily include analytics merely because the Cortlet website does.

Certain Cortlet services may allow you to submit, transmit, upload, process, or otherwise provide code, logs, configuration, messages, files, requests, data, or other material ("User Content").

You retain ownership of your User Content except for rights expressly granted under these Terms or applicable product-specific terms.

You are responsible for ensuring that you have the rights and permissions necessary to provide and process User Content using Cortlet.

To the extent necessary to provide, secure, maintain, and operate a Cortlet service, you grant Cortlet a limited right to host, transmit, process, reproduce, or otherwise handle User Content solely as reasonably necessary to provide that service.

This provision does not transfer ownership of your User Content to Cortlet.

You are responsible for determining whether a Cortlet service is appropriate for the information you intend to process.

Unless Cortlet expressly states otherwise for a particular service, you should not assume that Cortlet is designed or certified for regulated, classified, highly sensitive, or safety-critical information.

You are responsible for maintaining appropriate backups of code, configuration, credentials, files, logs, data, and other information that is important to you.

You should not rely on Cortlet as your sole storage or backup mechanism unless a specific service expressly states otherwise.

Cortlet and its licensors retain all rights, title, and interest in Cortlet websites, proprietary software, services, documentation, designs, branding, interfaces, and other original materials except where expressly stated otherwise.

These Terms do not transfer ownership of Cortlet intellectual property to you.

Some Cortlet projects or components may be distributed under open-source licenses.

Open-source material is governed by the applicable license included with that project or component. Nothing in these Terms is intended to restrict rights granted under an applicable open-source license.

Cortlet names, logos, product names, service names, visual identity, and related branding may be protected under applicable trademark or unfair-competition law.

No trademark license is granted by these Terms. You must not use Cortlet branding in a way that falsely implies ownership, sponsorship, affiliation, certification, or endorsement.

Nothing in these Terms represents that a Cortlet mark is registered unless Cortlet expressly identifies it as registered.

If you voluntarily submit ideas, suggestions, bug reports, feature requests, or other feedback, you grant Cortlet permission to use that feedback without restriction or an obligation to compensate you.

This does not transfer ownership of your pre-existing intellectual property or confidential information.

Cortlet respects the intellectual property rights of others. Copyright complaints may be submitted in accordance with the Cortlet DMCA & Copyright Policy.

Cortlet does not guarantee that any website, service, API, endpoint, product, integration, repository, documentation, download, or other resource will always be available, uninterrupted, or error-free.

Temporary interruptions may occur because of maintenance, deployments, third-party outages, security events, network conditions, infrastructure failures, or other causes.

Cortlet may add, modify, replace, suspend, limit, or discontinue features or services where reasonably necessary for development, security, legal, operational, or business reasons.

Cortlet does not guarantee that every feature, interface, endpoint, workflow, or behavior will remain unchanged.

If Cortlet introduces paid services, applicable prices, billing terms, usage limits, renewal terms, taxes, and refund conditions may be provided separately before you purchase or activate the paid service.

These Terms do not by themselves require Cortlet to offer any particular paid plan, pricing model, or commercial service.

Cortlet may implement reasonable technical and operational measures intended to protect its services, users, and infrastructure.

No internet-connected system can be guaranteed to be completely secure. You remain responsible for securing your own systems, accounts, credentials, applications, and integrations.

Cortlet may restrict, suspend, or terminate access to a service, account, organization, credential, API key, or other resource where reasonably necessary to address abuse, security risks, legal requirements, non-payment where applicable, or material violations of these Terms or the Acceptable Use Policy.

Where appropriate and legally permitted, Cortlet may provide notice or an opportunity to correct the issue before permanent termination.

Cortlet may take immediate action without prior notice where reasonably necessary to prevent ongoing harm, secure systems, protect users, comply with law, or preserve service integrity.

When your right to use a Cortlet service ends, you must stop using that service and any credentials or access rights associated with it.

Provisions that by their nature should survive termination, including intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute-related provisions, will survive.

To the maximum extent permitted by applicable law, Cortlet services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

Cortlet disclaims, to the maximum extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and security.

Cortlet does not warrant that services will be uninterrupted, error-free, completely secure, compatible with every system, or suitable for every purpose.

To the maximum extent permitted by applicable law, Cortlet and its affiliates, contributors, licensors, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to Cortlet or these Terms.

This includes, where legally permitted, loss of profits, revenue, business, opportunity, goodwill, data, files, credentials, service availability, or anticipated savings.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Cortlet and its affiliates, contributors, contractors, licensors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of Cortlet, your violation of these Terms, your User Content, or your infringement of another person's rights.

You are responsible for using Cortlet in compliance with laws and regulations applicable to you, your organization, your location, your users, your systems, and your intended use.

You may not use, export, re-export, transfer, or make Cortlet available in violation of applicable export-control, sanctions, trade-control, or similar laws.

Cortlet's handling of personal information is described in the Cortlet Privacy Policy.

The Privacy Policy should be read together with these Terms where personal information is involved.

Information regarding cookies, browser storage, website analytics, performance monitoring, and related technologies is available in the Cortlet Cookie Policy.

The Cookie Policy is available at /legal/cookies.

Cortlet may update these Terms to reflect changes in services, law, security requirements, business practices, or operational needs.

Updated Terms will be published with a revised "Last updated" date. Where required by applicable law, additional notice will be provided.

Your continued use of Cortlet after updated Terms become effective may constitute acceptance of those Terms where permitted by applicable law.

These Terms are governed by the laws applicable to Cortlet as identified in Cortlet's legal information, without regard to conflict-of-law principles, except where mandatory local law requires otherwise.

Any dispute arising out of or relating to Cortlet or these Terms will be handled in accordance with applicable law and any additional dispute-resolution terms that Cortlet may lawfully provide for a specific service.

Nothing in these Terms is intended to exclude, restrict, or waive rights that cannot legally be excluded, restricted, or waived under applicable consumer-protection law.

If any provision of these Terms is found to be invalid, unenforceable, or unlawful, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

Cortlet's failure to enforce a provision of these Terms does not waive Cortlet's right to enforce that provision or any other provision later.

You may not assign or transfer your rights or obligations under these Terms without Cortlet's prior written consent, except where applicable law provides otherwise.

Cortlet may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, transfer of a service, or similar transaction, subject to applicable law.

These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and any applicable product-specific terms, constitute the agreement governing your use of the relevant Cortlet services.

Software distributed separately may also be governed by the Cortlet End User License Agreement or an applicable open-source license.

Except where expressly stated otherwise, these Terms do not create rights for any person or entity other than you and Cortlet.
